Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you and Clockwise Cards LLC ("ClockwiseCards," "we," "us," or "our") and govern your use of the ClockwiseCards mobile application and our related web pages at clockwisecards.com (together, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
ClockwiseCards is not a gambling service and does not facilitate gambling.
Description of the Service — scheduling only, not gambling
ClockwiseCards is a scheduling and social-coordination tool for private poker games. Its purpose is to help a host organize a game and coordinate who is attending — sending invitations, managing a join list, and tracking whether invited players actually show up.
ClockwiseCards is not a gambling service and does not facilitate gambling.
Specifically:
- The Service does not offer, host, operate, or simulate any game of chance for money or anything of value.
- The Service does not accept, process, hold, escrow, transfer, or handle any wagers, bets, buy-ins, stakes, winnings, or money of any kind.
- ClockwiseCards has no buy-in field and stores no stakes amount of any kind. If a host chooses to mention stakes in free-text game notes, that text is host-authored and informational only — it is never transacted, collected, processed, or moved through the Service; ClockwiseCards never touches money.
- Any stakes are arranged and settled entirely offline, directly between players, outside of and without any involvement by ClockwiseCards.
- You are solely responsible for ensuring that your use of the Service, and any offline game you attend or host, complies with all laws that apply to you, including any laws governing private social gambling in your jurisdiction. If private-stakes poker is unlawful where you are, do not use the Service to coordinate it.
The Service simply answers "who is coming to this private game, and how reliably do they show up." Nothing in the Service constitutes an offer, inducement, or facilitation of unlawful gambling.
Eligibility and minimum age
You must be at least 13 years old to use the Service, and you must have the legal capacity to enter into these Terms. ClockwiseCards is a scheduling and social-coordination tool — comparable to an app for organizing a tabletop game night — not a gambling service (see Section 2). The Service is not directed to and may not be used by anyone under this age. By using the Service, you represent and warrant that you meet these requirements.
Your account and the device-bound identity model
ClockwiseCards has no traditional account — there is no username, password, or email login.
- When you first open the app, your device generates a random identifier that serves as your credential. Keeping your device secure is how you keep your identity secure.
- A phone number becomes associated with your identity only when a host sends you an invite link and you complete the invite ceremony. We do not offer a way to claim, look up, or bind a phone number by simply typing it in without a host's invite.
- You are responsible for all activity that occurs under your device identity. If your device is lost, stolen, or compromised, your identity may be affected. Optional Apple/Google account linking (where available) exists to help you restore your data on your own devices.
Acceptable use
You agree that you will not:
- Use the Service to facilitate, promote, or conduct any unlawful gambling or any other unlawful activity.
- Harass, threaten, abuse, stalk, defraud, or harm any other person, including hosts or other players.
- Impersonate any person, or misrepresent your identity, age, or affiliation.
- Enter another person's phone number or contact information without a lawful basis to do so, or use the Service to contact people who do not wish to be contacted.
- Send spam, or use invitations, notifications, or messaging features to distribute unsolicited or unlawful content.
- Scrape, harvest, crawl, or bulk-extract data from the Service; probe or circumvent our security, rate-limiting, or authentication; or attempt to access data (including other players' invites, game details, or reliability information) that you are not authorized to see.
- Reverse-engineer, decompile, or attempt to derive source code from the app, except to the extent this restriction is prohibited by law.
- Interfere with, disrupt, or place undue load on the Service or its infrastructure, or introduce malware or other harmful code.
- Use the Service to violate any applicable law or the rights of any third party.
We have no tolerance for objectionable content or abusive users. The app provides in-app safety tools: you can report a player or a game (with a reason) and block a player — blocking stops you and the blocked player from seeing each other's activity in the Service, and can also remove them from upcoming games you host. We review reports and may remove content, restrict features, suspend, or terminate the accounts of offending users. You can also report urgent abuse to us at support@clockwisecards.com.
We may investigate and take appropriate action — including removing content, suspending, or terminating access — for any violation of these Terms.
User content and contacts
The Service lets you enter content such as your name, game details (including a venue name), game notes, and contact information for people you wish to invite ("User Content").
- You retain your rights in your User Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content solely to operate and provide the Service (for example, to show a game's details to its participants or to deliver an invitation).
- You are responsible for your User Content, and you represent and warrant that you have all rights necessary to provide it and that it does not violate any law or any third party's rights.
- Other people's information. If you import contacts or enter another person's name or phone number to invite or coordinate with them, you represent that you are permitted to share that information with us for that purpose. You are responsible for how you use invitations and for your communications with the people you invite. See our Privacy Policy for how we handle contact information (we read only name and phone number, only for contacts you select, and never upload your entire address book).
- We do not claim ownership of your User Content, and we are not obligated to monitor it, but we may remove content that violates these Terms.
Host and player conduct
ClockwiseCards is a coordination tool between hosts and players; the games themselves are private, real-world events organized by hosts, not by us.
- Hosts are solely responsible for their games, including who they invite, the conduct of their games, any venue and its safety, and compliance with all applicable laws. Reliability and attendance information is provided to help hosts organize; it is a record of activity, not a judgment we make about any person, and hosts are responsible for how they use it.
- Players are responsible for their own attendance decisions and conduct.
- ClockwiseCards is not a party to, and is not responsible for, any private game, any interaction between users, or any offline arrangement (including any stakes). We do not vet, endorse, or supervise users, games, or venues. Interactions with other users are solely between you and them.
Third-party services
The Service relies on third-party providers (for example, database hosting, notification delivery, crash reporting, and web hosting) as described in our Privacy Policy, and interacts with platform features (such as your device's operating system, app stores, and contact and location permissions). Your use of those third-party services and platforms is governed by their own terms and privacy policies, and we are not responsible for them. Deep links and QR codes may open pages or apps operated by others.
Disclaimers; provided on an "as-is" basis
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that any information (including reliability or attendance data) is accurate or complete, or that any game, host, player, or venue is legitimate, safe, or lawful. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CLOCKWISE CARDS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, any interaction with another user, any game or venue, or any offline arrangement (including any stakes), whether based in contract, tort, negligence, strict liability, or otherwise, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us, if any, for the Service in the 12 months before the claim arose, or (b) USD $100. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Clockwise Cards LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content or any contact information you provide; (c) your violation of these Terms or any law; (d) your infringement of any third party's rights; or (e) any private game you host or attend, any interaction with another user, or any offline arrangement (including any stakes).
Termination and account deletion
You may stop using the Service at any time, and you may delete your account and personal data directly in the app at Profile › Delete account (deletion is immediate and permanent, including games you host; a small set of safety and security records survives in de-linked or anonymized form — see our Privacy Policy), or request deletion by contacting us as described in our Privacy Policy. How deletion works is also described at https://clockwisecards.com/delete-account.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or applicable law, or to protect the Service or other users. Upon termination, the rights granted to you under these Terms will cease. Sections that by their nature should survive termination — including User Content licenses already exercised, disclaimers, limitation of liability, indemnification, and governing law — will survive.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Subject to any mandatory rights you have under local law, you agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state and federal courts located in Laramie County, Wyoming, and you consent to their personal jurisdiction and venue.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Effective date" above and, where appropriate, provide additional notice (for example, in the app or on our website). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service.
Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
